Terrence L. Bauer
Director
Terrence L. Bauer has served as CEO and Director of Orion HealthCorp, Inc., since December 2004 and as President since November 2005. Prior to his role at Orion HealthCorp, Mr. Bauer served as President, CEO and Director of Integrated Physician Solutions, Inc., (IPS) now a wholly owned subsidiary of the company since 1996, and as Chairman of the Board of Directors of IPS since 1999. Prior to co-founding IPS, Mr. Bauer was President and Chief Operating Officer of Allegiant Physician Services, a multi-specialty physician practice management and software services company. Previously, Mr. Bauer served as President and CEO of ATC Healthcare Services, Inc., a national healthcare staffing firm from 1991 through 1995. From 1987 through 1991, Mr. Bauer held various senior management positions at Critical Care America, a specialty pharmaceutical company. Mr. Bauer has been active in the healthcare industry since 1980.
Robert P. Pinkas
Non-Executive Chairman of the Board of Directors
Robert P. Pinkas is the founding partner of Brantley Partners. Previously, he led a venture development and investment firm and was the founding director/investor in many high growth businesses in both technology and service industries. Prior to that, Mr. Pinkas worked at McKinsey & Co. as a turnaround consultant and strategist for industrial firms and as an attorney with an emphasis on corporate finance at Simpson Thacher & Bartlett. Mr. Pinkas has served on the Boards of Directors of numerous private and public companies. He holds A.B. and A.M. degrees from Harvard University, and a J.D. from the University of Pennsylvania.

Peni A. Garber has served as Director of Orion HealthCorp, Inc., since July 2008. Ms. Garber is a partner with ABRY Partners, which she joined in 1990. Ms. Garber is co-head of ABRY’s mezzanine/senior equity effort with responsibility for sourcing and leading transactions in this practice. In her years with ABRY, Ms. Garber has evaluated, organized, negotiated or underwritten numerous private equity, mezzanine, high-yield bond and bank transactions. Prior to joining ABRY, she was with PricewaterhouseCoopers.
Joseph M. Valley, Jr.
Director
Mr. Valley has served as Director of Orion HealthCorp, Inc., since December 2004. He currently serves as CEO of Bluenog Corporation, an open source provider of integrated content management, portal and reporting solutions. Mr. Valley recently served as Chairman and CEO of NCT, Inc., a networking connectivity services provider, which he sold to Black Box Corporation (BBOX:NASDAQ) in 2008. Mr. Valley also served as CEO of Seranin Software Corporation, a privately held company based in Dallas, President and COO for QueryObject Systems Corporation, an Amex-traded global business intelligence software company, and CEO of MIS USA, the first company to introduce collaborative analytical processing and one of the most successful IPOs on the German market. Mr. Valley began his career at Computer Associates where he held several senior executive positions.
